Terms of Use

These Terms of Use govern your use of the Refinex Labs AI website at refinexlabs.ai, including its content and free tools such as the AI Readiness Check (together, the “site”). The site is operated by Refinex Media Inc. (“Refinex Labs,” “we,” “us,” “our”). By using the site, you agree to these terms. If you do not agree, please do not use the site.

1. Who these terms apply to

These terms apply to everyone who visits or uses the site. If you use it on behalf of a business or other organization, you confirm that you are authorized to accept these terms for it, and “you” includes that organization. You must be at least the age of majority where you live.

2. The site and our paid products

The site describes our products, including the Refinex Content Engine. A subscription to the Content Engine, or any other paid service, is governed by the separate written agreement or order form you sign with us, not by these terms. If the two conflict, that agreement wins.

Product descriptions, example articles, plans and prices on the site are general information and may change. They are not an offer, and the price and scope you pay for are the ones in your signed agreement. Nothing on the site guarantees any ranking, traffic, citation by an AI assistant, lead or revenue.

3. Acceptable use

You may view and share the site’s content for lawful, non-commercial purposes. You agree not to:

• copy, republish, scrape, frame or reuse the site’s content, code or design for commercial purposes without our written permission;
• use the site in a way that is unlawful, misleading or infringes anyone’s rights;
• try to gain unauthorized access to the site, its servers or connected systems, or probe, scan or test their security;
• introduce viruses or other harmful code, or disrupt the site, including through excessive automated requests;
• use bots or scripts to access the site or submit forms, other than search engine and AI crawlers that respect our robots.txt; or
• impersonate anyone, or submit information that is false or that you do not have the right to share.

4. The AI Readiness Check

By using the free AI Readiness Check (the “Check”), you also agree to this section.

• Information only. Results, scores and recommendations are generated automatically from a limited, point-in-time sample of publicly accessible pages and a fixed set of checks. They are general information, not professional, technical, legal or business advice, and they may be incomplete, out of date or wrong, for example if a site blocks automated requests, relies on JavaScript or changes after the scan.
• No guarantee of results. AI assistants and search engines such as ChatGPT, Claude, Gemini, Perplexity and Google are run by third parties who decide for themselves what they crawl, show, cite or recommend. A high score does not mean your business will be found or recommended, and following our recommendations does not guarantee any traffic, visibility, leads or revenue.
• Your decisions. You are responsible for how you use the results and for any changes you make, or ask others to make, to your website, robots.txt, firewall, structured data or other settings. Back up your site and take professional advice before making changes.
• Only scan sites you may scan. Submit only websites you own or are authorized to assess. By submitting an address, you authorize us to request that site’s publicly accessible pages and files (such as robots.txt, sitemaps and llms.txt) the way a search engine crawler would, including identifying as AI crawlers to test whether they are blocked. We do not log in, submit forms or try to access non-public areas.
• Fair use. Do not run scans by automated means, try to get around usage limits, region restrictions or bot protection, or use the Check to disrupt any website. The Check is currently available in the United States and Canada only. We may limit, change, suspend or discontinue it at any time.

5. Communications

When you ask for a demo, contact us or request a report from the Check, you agree that we may contact you about that request and about our products, as the law allows. You can opt out of marketing emails at any time using the unsubscribe link or by emailing hello@refinexlabs.ai.

6. Privacy

Our Privacy Policy explains how we collect, use and protect personal information submitted through the site, and forms part of these terms.

7. Intellectual property

The Refinex Labs and Refinex names and logos, the site’s design, text, images and code, and the Refinex Content Engine are owned by or licensed to Refinex Media Inc. and are protected by copyright, trademark and other laws. Some images on the site were created with AI image tools. All rights not expressly granted in these terms are reserved. Names of third-party products and services, such as AI assistants and social networks, belong to their owners and are used only to identify them.

8. Submissions and feedback

You are responsible for the information you submit and confirm that it is accurate and that you have the right to share it. If you send us ideas or feedback about the site or our products, we may use them without restriction or payment to you.

9. Third-party links and services

The site links to and relies on third-party services. We are not responsible for their content, availability or practices, and your use of them is subject to their own terms and privacy policies.

10. Disclaimer of warranties

The site and the Check are provided “as is” and “as available,” without warranties or conditions of any kind, express or implied, including warranties of accuracy, completeness, availability, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, secure or error-free. Content on the site is general information that may change or become out of date without notice.

11. Limitation of liability

To the fullest extent permitted by law, Refinex Media Inc. and its directors, officers, employees, contractors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, traffic, rankings, goodwill or business opportunities, arising out of or relating to the site or the Check, however caused, even if we were told such damages were possible. Because the site and the Check are free, our total liability for all claims relating to them is limited to CAD $100.

This section does not apply to paid services, whose liability terms are in your agreement with us. Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law, including consumer protection law.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Refinex Media Inc. and its directors, officers, employees and contractors from any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising from your misuse of the site or the Check, your breach of these terms, your violation of any law or third-party right, or any website you submit to the Check without authorization.

13. Suspension and changes to the site

We may change, suspend or discontinue all or part of the site or the Check at any time without notice, and may restrict access for anyone we reasonably believe is breaching these terms or misusing the site.

14. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. You and we submit to the exclusive jurisdiction of the courts in Toronto, Ontario, except where consumer protection law gives you the right to bring a claim where you live.

15. General

If any part of these terms is found unenforceable, it will be limited to the minimum extent necessary and the rest will stay in effect. Our failure to enforce a provision is not a waiver. These terms and our Privacy Policy are the entire agreement between you and us about your use of the site; they do not change any signed agreement for our services. You may not transfer these terms without our written consent; we may transfer them as part of a merger, acquisition or sale of assets. Provisions that by their nature should survive, including those on intellectual property, disclaimers, limitation of liability, indemnification and governing law, survive. 16. Changes to these terms

We may update these terms from time to time. The “last updated” date at the top shows when they last changed. Changes apply from that date, and continuing to use the site after an update means you accept the revised terms.
